Alimak acquires Pro-Bel

Swedish mastclimber, hoist and work at height equipment manufacturer Alimak is to acquire Pro-Bel, a privately owned Canadian supplier of work at height equipment, from suspended platforms to fall protection equipment.

Pro-Bel is based in Ajax, Ontario, on the North East side of Toronto, and dates back to 1978 when chief executive Marc Lebel set up a high-rise window cleaning company – Pro-Bel Services. He soon discovered that most buildings did not provide adequate safety equipment or anchors for window cleaners, which resulted in a high accident rate. This led him to design and later manufacture a roof anchor, laying the foundations for the current business.

Today, the company has around 140 employees and offers a wide and diverse range of access and safety solutions for working at height, including roof anchors, davit arms, horizontal lifelines, monorail systems and BMU’s (Building Maintenance Units).

It had revenues last year of C$69 million ($49 million) with a profit before interest and amortisation of C$24 million ($17 million).

The transaction terms equate to an enterprise value of C$200 million ($142.4) on a cash and debt-free basis, with 88.5 percent of the enterprise value paid on completion, with the balance paid 18 months later. The acquisition will be financed through existing credit facilities and is expected to close later this month.

Lebel will remain with the business for a transition period to support the integration process, ensure continuity for customers and contribute to knowledge transfer. The business will be integrated into Alimak’s Façade Access division.
